Terms of Service

1. Agreement to Terms
By accessing or using Shamba Ledger(“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use the Service. These Terms form a legally binding agreement between you and Orange Sands Ltd, a company registered in Kenya (“Orange Sands”, “we”, “our”, or “us”).
2. Description of Service
Shamba Ledger is a farm management and financial tracking platform designed for smallholder farmers and farm operators in Kenya. The Service enables users to track crops, livestock, workers, inventory, expenses, and farm-related activities through a web-based interface and mobile Progressive Web App (PWA).
3. Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract under Kenyan law. By using the Service, you represent that you meet these requirements.
4. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at legal@orangesands.co.ke if you suspect unauthorised access. We reserve the right to suspend or terminate accounts that violate these Terms.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of Kenyan law.
- Attempt to gain unauthorised access to any part of the Service or its infrastructure.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Upload malicious code, viruses, or any content that disrupts the Service.
- Share, resell, or sublicense access to the Service without our written consent.
- Collect or harvest data from the Service using automated means.
6. Your Data
You retain ownership of all farm data, financial records, and other content you upload or create in the Service (“Your Data”). By using the Service, you grant Orange Sands a limited licence to store, process, and display Your Data solely for the purpose of providing the Service to you. We will not sell Your Data to third parties. See our Privacy Policy for full details on how we handle your information.
7. Intellectual Property
The Service, including its design, code, trademarks, and content created by Orange Sands (excluding Your Data), is owned by Orange Sands Ltd and protected by applicable intellectual property laws. You may not copy, modify, or distribute any part of the Service without our prior written permission.
8. Subscription & Payment
Certain features of Shamba Ledger may be offered on a subscription basis. Pricing, billing cycles, and payment terms will be disclosed at the time of purchase. All fees are stated in Kenyan Shillings (KES) unless otherwise indicated and are non-refundable except as required by law or as expressly stated in our refund policy.
9. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted availability. Financial figures and reports generated by the Service are for informational purposes only and do not constitute professional financial advice.
10. Limitation of Liability
To the maximum extent permitted by Kenyan law, Orange Sands Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill arising from your use of the Service, even if we have been advised of the possibility of such damages. Our total liability to you for any claim shall not exceed the fees you paid us in the 12 months preceding the claim.
11. Termination
Either party may terminate these Terms at any time. You may stop using the Service and delete your account. We may suspend or terminate your access if you breach these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination, after which it may be permanently deleted.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of Kenya. Any disputes shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting a notice within the Service or by email. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
